This document constitutes an official offer (public offer) by Sole Proprietor (FOP) Novyk Bohdan Mykolaiovych (hereinafter referred to as the "Contractor") to enter into a Service Agreement for access to the Fitment API service and the purchase of digital content under the terms and conditions set forth below.
Payment for an order or registration on the website constitutes full and unconditional acceptance (manifestation of assent) of the terms and conditions of this public offer.
1. Subject of the Agreement
1.1. The Contractor shall provide the Customer (User) with services for access to the application programming interface (REST API) and cloud databases of automotive component compatibility (tires, wheels, batteries, wiper blades, etc.), as well as the ability to download digital copies of databases (SQL / CSV dumps), and the Customer undertakes to accept and pay for such services / digital goods in accordance with the selected pricing plan.
2. Order, Timelines of Service Delivery, and "Delivery" Terms
Since the services and goods of the service are exclusively of a digital (intangible) nature, no physical delivery is carried out.
2.1. Delivery of API Access (SaaS Subscription):
- Access provision occurs automatically in electronic form.
- Upon successful payment for the pricing plan (or activation of a free trial period), the user's account is activated, and a unique API key (or multiple keys) is generated in the user's Personal Account on the website and/or sent to the email address specified during registration.
- Timeline for granting access: from a few seconds to 15 minutes from the moment the transaction is confirmed by the payment system.
2.2. Delivery of Standalone Databases (SQL/CSV dumps):
- The link to download the digital archive (or direct file) becomes available in the user's Personal Account and/or is sent to the Customer's email immediately after payment confirmation.
- Timeline for opening download access: no later than 1 hour from the moment the funds are received.
2.3. Additional Request Packages (Booster Add-ons):
- The additional request limit is added to the account balance instantly after the payment is processed.
3. Service Cost and Settlement Procedure
3.1. The cost of pricing plans and one-time purchases is specified on the relevant pages of the website and/or in the "Pricing" section in the national currency of Ukraine (Hryvnia, UAH) or its equivalent in foreign currency at the established exchange rate.
3.2. Settlements are made on the terms of 100% prepayment.
3.3. When choosing a monthly or annual subscription, the User may consent to automatic regular debiting of funds (recurrent payments). The User has the right to cancel the auto-renewal of the subscription at any time in their Personal Account.
4. Payment Methods
Payment for services and digital goods on the website is carried out by the following methods:
- By bank card online: Visa, MasterCard, Prostir through a secure gateway of the payment provider.
- Fast electronic payments: Apple Pay, Google Pay.
- Wire transfer (for legal entities and Sole Proprietors/FOP): payment according to an issued invoice to the Contractor's current account with the provision of relevant statements of services rendered.
All online payments are processed using modern security protocols (3D-Secure, PCI DSS). The service does not store and does not have access to the full details of the users' bank cards.
5. Rights and Obligations of the Parties
5.1. The Contractor undertakes:
- To ensure the stable operation of the API in accordance with the service level agreement (SLA) provided for by the selected tariff.
- To provide technical support to users within the scope of the pricing plan regulations.
- Not to disclose confidential information and personal data to third parties (except as provided by law).
5.2. The Customer undertakes:
- Not to transfer the received API keys to third parties without the agreement of the Contractor.
- Not to perform actions aimed at disrupting the infrastructure operability (DDoS attacks, exceeding Burst Rate limits, etc.).
- To use the obtained data exclusively within the scope of the purchased license/pricing plan.
6. Liability and Force Majeure
6.1. The Parties shall be released from liability for partial or total non-performance of obligations if it occurred as a result of force majeure circumstances, confirmed in accordance with the procedure established by law.
6.2. The Contractor is not liable for Internet network outages on the side of the Customer or communication providers.
